Copyright Registrations. Prior to the generation of any Accounts from the marketing, sale, license or distribution of computer software products or other copyrights, unless Foothill in Foothill's sole discretion agrees otherwise, Borrower shall (i) cause all copyrights generated by Borrower to be registered with the United States Copyright Office in a manner sufficient to impart constructive notice of Borrower's ownership thereof which obligation may be satisfied by the Borrower by filing Applications for Registration in proper form for filing with the United States Copyright Office and otherwise making proper application for, and paying all fees necessary to obtain, expedited treatment from the United States Copyright Office for registration of the copyrights related to such Applications for Registration, and (ii) cause to be prepared, executed, and filed with the United States Copyright Office, a Copyright Security Agreement or supplemental schedules to a Copyright Security Agreement reflecting the security interest of Foothill in such copyrights, which shall be in form and content suitable for registration with the United States Copyright Office so as to give constructive notice of the transfer by Borrower to Foothill of a security interest in such copyrights.
Copyright Registrations. Copyrights and copyright registrations on copyrightable subject matter shall be filed, prosecuted, defended, and maintained, and the Parties shall have the right to pursue infringers of any copyrights owned or Controlled by it, in substantially the same manner as the Parties have allocated such responsibilities, and the expenses therefor, for patent rights under this Article 10.

If SalesLogix shall register pursuant to the Act a copyright in the End Products or Derivative Works or compilations based upon or containing Licensed Products, SalesLogix shall identify in any such registration the pre-existing Licensed Product(s) by Symantec which is included in or upon which is based the End Product, Derivative Work or compilation.

No less frequently than quarterly, unless Agent in Agent's sole discretion agrees otherwise, Borrower shall (a) cause all copyrights generated by Borrower (other than Exempt Copyrights) that are not already the subject of a registration with the United States Copyright Office (or an application therefor diligently prosecuted) to be registered with the United States Copyright Office in a manner sufficient to impart constructive notice of Borrower's ownership thereof, and (b) cause to be prepared, executed, and delivered to Agent, with sufficient time to permit Agent to record no later than the last Business Day within 10 days following the date that such copyrights have been registered or an application for registration has been filed, a Copyright Security Agreement or supplemental schedules to the Copyright Security Agreement reflecting the security interest of Agent on behalf of the Lender Group in such new copyrights (other than Exempt Copyrights, which, although subject to the security interest of Agent on behalf of the Lender Group, shall not be required to be registered until such time, if any, as they cease to be Incipient Copyrights), which supplemental schedules shall be in form and content suitable for registration with the United States Copyright Office so as to give constructive notice, when so registered, of the transfer by Borrower to Agent on behalf of the Lender Group of a security interest in such copyrights.

(b) Within 120 days after the Closing Date, apply to register Copyrights with the Copyright Office constituting the PWLN Library.

(d) Within 60 days after any Library Upgrade, (i) cause all Copyrights with respect to such Library Upgrade to be registered with the Copyright Office in a manner sufficient to impart constructive notice of Loan Party’s ownership thereof which obligation may be satisfied by such Loan Party by filing applications for registration in proper form for filing with the Copyright Office and otherwise making proper application for, and paying all fees necessary to obtain, a registration of the Copyrights related to such applications for registration, and (ii) cause to be prepared, executed, and filed with the Copyright Office, a Copyright Security Agreement or supplemental schedules to a Copyright Security Agreement reflecting the security interest of the Agent and the Lender Group in such new Copyrights, which shall be in form and content suitable for registration with the Copyright Office so as to give constructive notice of the transfer by a Loan Party to Agent of a security interest in such Copyrights. Agent agrees to file the Copyright Security Agreement encumbering specific copyrights with the Copyright Office promptly upon receipt of notice by Loan Parties of all information necessary to file such Copyright Security Agreement.
(e) Beginning 180 days after the Closing Date, and every 180 days thereafter (or, at any time when a Cash Dominion Trigger Event has occurred and is continuing, every 90 days thereafter), (i) cause all Copyrights with respect to any Minor Upgrades to any Software comprising the Required Library made during the previous applicable period to be registered with the Copyright Office in a manner sufficient to impart constructive notice of Loan Party’s ownership thereof which obligation may be satisfied by such Loan Party by filing applications for registration in proper form for filing with the Copyright Office and otherwise making proper application for, and paying all fees necessary to obtain, a registration of the Copyrights related to such applications for registration, and (ii) cause to be prepared, executed, and filed with the Copyright Office, a Cop...
Copyright Registrations. Borrower represents and warrants to Greyrock that it estimates that at least 39% of its Receivables generated in its current fiscal year will be from Prism software, which has been registered with the United States Copyright Office. Borrower also represents and warrants that it estimates that 33% and 28% of its Receivables generated in its current fiscal year will be from its Protean and Avantis software, respectively, and that all such software has been registered, or applications for registration have been filed, with the United States Copyright Office, except for (i) the enhancements to said software represented by the Xxxxxxx.Xxx Release 3.0 (the "Avantis Enhancements") and (ii) interim versions of the Prism, Protean and Avantis software which have been superseded by subsequent releases, which interim versions have not generated any Receivables for over 120 days. Within 90 days after the date hereof, Borrower shall cause appropriate applications for copyright registrations to be filed with the United States Copyright Office with respect to the Avantis Enhancements, and shall provide copies thereof to Greyrock together with a Security Agreement in Copyrighted Works in such form as Greyrock shall specify with respect thereto, in form suitable for filing in the Copyright Office.

No less frequently than semiannually, but in any event prior to the generation of any Accounts from the marketing, sale, license or distribution of computer software products or other copyrights other than those set forth on Schedule 5.17, unless Foothill in Foothill's sole discretion agrees otherwise, Borrower shall (i) cause all copyrights generated by Borrower that are not already the subject of a registration with the United States Copyright Office to be registered with the United States Copyright Office in a manner sufficient to impart constructive notice of Borrower's ownership thereof which obligation may be satisfied by the Borrower by filing Applications for Registration in proper form for filing with the United States Copyright Office and otherwise making proper application for, and paying all fees necessary to obtain, expedited treatment from the United States Copyright Office for registration of the copyrights related to such Applications for Registration, and (ii) cause to be prepared, executed, and filed with the United States Copyright Office, a Copyright Security Agreement or supplemental schedules to a Copyright Security Agreement reflecting the security interest of Foothill in such new copyrights, which shall be in form and content suitable for registration with the United States Copyright Office so as to give constructive notice of the transfer by Borrower to Foothill of a security interest in such copyrights. Foothill agrees to file the Copyright Security Agreement encumbering specific copyrights with the United States Copyright Office promptly upon receipt of notice by Borrower of all information necessary to file such Copyright Security Agreement.
