Expiration of. This Agreement to take effect on date of signing,except as otherwise specifically noted, and shall remain in effect until midnight, December and from year to year thereafter, unless notification in writing to re-open the Agreement is served by either party hereto. Such notification is to be served not later than sixty days before the day of expiration of this Agreement. Upon receipt of such notice the parties hereto agree to meet immediately, with the object of adjusting any matters requiring attention in the present Agreement, or of negotiating a new Agreement. Expiration of this Section 5. Notwithstanding anything in this Agreement to the contrary, this Section 5 shall terminate and be of no further force or effect upon the Lapse Date, except that any payment obligation of the Company that has arisen prior to the expiration of this Section 5 shall remain in full force and effect until satisfied in accordance with the applicable provisions of this Section 5.
