IN CONFIDENCE. If at any time the Commission shall issue any stop order suspending the effectiveness of the Shelf Registration Statement, or any state securities commission or other regulatory authority shall issue an order suspending the qualification or exemption from qualification of the Transfer Restricted Securities under state securities or Blue Sky laws, the Issuer shall use its best efforts to obtain the withdrawal or lifting of such order at the earliest possible time and will provide to the Purchasers and each Holder who is named in the Shelf Registration Statement prompt notice of the withdrawal of any such order.
IN CONFIDENCE. All Business Travel and Expenses shall be calculated in accordance with BT Policy for BT Business Travel and Expenses attached at Appendix 1;
IN CONFIDENCE. Each invoice shall specify: its date; the Contract number; the order reference; line reference; the relevant BT item code(s) if appropriate; the correct price; the full description of the Supplies to which the invoice relates (as defined in the Contract); the portion of the Supplies for which payment is due and, if appropriate, the cumulative amount invoiced to date. The agreed payment currency and the Incoterm must be specified in relation to any non-UK transaction. Any discounts should be separately shown with a clear indication of what the discount is for.

Participant will maintain the Draft Specifications in confidence with at least the same degree of care that it uses to protect its own confidential and proprietary information, but no less than a reasonable degree of care under the circumstances and will neither disclose nor copy the Draft Specifications except as necessary for its employees with a need to know. Any copies which are made will be marked "confidential," "proprietary" or with a similar legend. Unless the parties agree otherwise, this obligation of confidentiality will expire on DECEMBER 31, 2003. A party will not be liable for the disclosure of any information as required by law or which is: included in the final, publicly released, version of one of the Specifications, or rightfully in the public domain other than by such party's breach of a duty; or rightfully received from a third party without any obligation of confidentiality; or independently developed by employees of the receiving party.
IN CONFIDENCE. The Supplier will carry out and be able to supply evidence of periodic quality checks (at least quarterly) to ensure the consistency of delivery of the Services, and the provision of management information as agreed.
IN CONFIDENCE. Variation as agreed in writing by Supplier which agreement shall not be unreasonably withheld. No Variation required by BT shall render the Contract null and void.
IN CONFIDENCE. Supplier where BT in its sole discretion considers circumstances justify it, or otherwise, in any case:

Unless the parties agree otherwise, this obligation of confidentiality will expire 3 years from the date of disclosure to Participant.
