Responsible Party. The Customer entity that is the Party to the USSA (not a Participating Entity) remains responsible in all respects for any failure to meet any Volume Commitment.

Responsible Party. 11.1 In the event that your condition or means makes such assistance necessary or advisable, the Responsible Party, upon our request, will: 11.1.1 Participate as needed with our employees in evaluating your needs and in planning and implementing an appropriate plan for your care; 11.1.2 Assist you as necessary to maintain your welfare and to fulfil your obligations under this Agreement; 11.1.3 Assist you in transferring to a hospital, nursing home, or other medical facility in the event that we can no longer meet your needs; 11.1.4 Assist in removing your personal property from the Room when you leave the Room; and 11.1.5 Make necessary arrangements, or assist the legally responsible person in making necessary arrangements, for funeral services and burial in the event of your death. 11.2 In the event that you fail to pay the Total Weekly Fee, by the due date under the Resident Agreement, we will notify the Responsible Party as soon as practicable by written notice to the Responsible Party and the Responsible Party hereby agrees to pay such amounts to us upon receiving each notice from us of non-payment by you. 11.3 For the avoidance of doubt, the Responsible Party acknowledges that they are liable to pay and perform all your obligations jointly and severally with you and that such obligations arise automatically, irrespective of any notice. 11.4 The Responsible Party acknowledges that he/she may have court proceedings initiated against them to recover any monies they are liable to pay under this Agreement.

Responsible Party. As used herein, YOU or BUYER means an individual or a business entity that is the customer of record. If you are an individual signing on behalf of an entity or another individual, you represent that you are authorized to sign on their behalf and, if it is determined that you are not so authorized, you understand and agree to be personally responsible for and guarantee payment of any sums that become due under this Agreement.

The Lessor shall not be responsible or liable for injuries to persons or damage to personal property when such injuries or damage are caused by or result from the Government's use of the premises under the terms of this agreement and are not due to the negligence of the Lessor, its representatives, or assigns. B. The Government shall not be liable for any loss, destruction or damage to the leased premises that is not a direct result of the Government’s or its authorized occupant’s negligent use of the leased premises, including but not limited to acts of nature such as fire, lightning, earthquakes, floods, or severe weather and acts of terrorism or war. The Government’s liability under this clause may not exceed appropriations available for such payment and nothing in this agreement shall be interpreted to require obligations or payments by the United States in violation of the Anti-Deficiency Act, 31 U.S.C. 1341, as amended. The provisions of this clause are without prejudice to any rights the Lessor may have to make a claim under applicable laws for any other damages than provided herein.

Responsible Party. With respect to the prosecution or defense of any litigation or proceeding asserted by or against Impax with respect to any of the ANDA Products, Impax shall be solely responsible for all costs, expenses, damages and other liabilities with respect to such litigation or proceeding, except to the extent subject to Section 10.1. With respect to the prosecution or defense of any litigation or proceeding asserted by or against Medicis with respect to the New Product, Medicis shall be solely responsible for all costs, expenses, damages and other liabilities with respect to such litigation or proceeding, except to the extent subject to Section 10.2.

Responsible Party. The property owner is presumed to be the responsible party regarding activities undertaken on his or her property that are subject to the SMA or the requirements of this SMP. The burden of proof regarding who is the responsible party is borne by the property owner.

Responsible Party. Lessee understands and agrees that Lessee's use of the Premises may require authorizations, approvals or permits from governmental regulatory agencies with jurisdiction over the Premises. Lessee shall be solely responsible for obtaining any and all such regulatory approvals. Lessee shall not seek any regulatory approval without first obtaining the written consent of the General Manager. Lessee shall bear all costs associated with applying for, obtaining and maintaining any necessary or appropriate regulatory approval and shall be solely responsible for satisfying any and all conditions imposed by regulatory agencies as part of a regulatory approval. Any fines or penalties levied as a result of Lessee's failure to comply with the terms and conditions of any regulatory approval shall be immediately paid and discharged by Lessee, and City shall have no liability, monetary or otherwise, for any such fines or penalties. Lessee shall Indemnify City and the other Indemnified Parties against all Losses arising in connection with Lessee's failure to obtain or comply with the terms and conditions of any regulatory approval.
