The Articles Sample Clauses

The Articles. The Articles of Incorporation of Merger Sub as in effect immediately prior to the Effective Time shall be the Articles of the Surviving Corporation, until duly amended in accordance with the terms thereof and of the TBCA, except that from and after the Effective Time, Article One of the Articles of Merger Sub shall be amended to be and read as follows: The name of the Corporation shall be Inside Out Networks, Inc.

The Articles. If, whilst this Agreement is in force, during the continuance of this Agreement there shall be any conflict between the provisions of this Agreement and the provisions of the Articles or of the articles of association of any company in the Group, then during such period the provisions of this Agreement shall prevail. Nothing contained in this Agreement shall be deemed to constitute an amendment of the Articles or of the articles of association of any company in the Group or of any previous articles of association of the Company or of any company in the Group.

The Articles. (1) If, during the continuance of this Agreement, there shall be any conflict between the provisions of this Agreement and the provisions of the Articles then, during such period, the provisions of this Agreement shall prevail as between the Shareholders over the Articles and in the event of such conflict the Shareholders shall procure at the request of any of the Shareholders such modification to the Articles as shall be necessary to cure such conflict. (2) Each of the parties hereto undertakes with each of the others to fully and promptly observe and comply with the provisions of the Articles to the intent and effect that each and every provision thereof shall be enforceable by the parties hereto inter se and in whatever capacity. (3) Nothing contained in this Agreement shall be deemed to constitute an amendment of the Articles or of any previous articles of association of the Company.

The Articles. 20.1 If, during the continuance of this Agreement, there shall be any conflict between the provisions of this Agreement and the provisions of the Articles then, during such period, the provisions of this Agreement shall prevail. 20.2 Each of the parties hereof undertakes with each of the other to fully and promptly observe and comply with the provisions of the Articles to the extent and effect that each and every provision thereof shall be enforceable by the parties hereto inter se and in whatever capacity. 20.3 Nothing contained in this Agreement shall be deemed to constitute an amendment of the Articles or of any previous articles of association of the Company.

The Articles. Insofar as any terms of this Agreement shall be inconsistent with the Articles, the Articles shall prevail.

The Articles. The Hospital agrees to contribute one hundred percent of the cost of Group Life Insurance Premiums. All employees will join the Hospitals of Ontario Pension Plan and the Group Life Insurance Plan in accordance with the terms and provisions of those plans. ARTICLE Dental Plan

The Articles. 11.1 If the provisions of the articles of association for the time being of any Group Company and/or any other instrument or agreement pursuant to which Reinvestment Securities have been issued conflict with the provisions of this Agreement then, during such period, the parties agree that the provisions of this Agreement shall prevail. 11.2 If any such conflict should be identified, each Reinvesting Security Holder agrees and undertakes, if so requested by Investor Direction, to take all actions within their power to procure the amendment of the articles of association of the relevant Group Company or the relevant instrument or agreement pursuant to which the relevant Reinvestment Securities have been issued to eliminate the conflict.

The Articles. 13.1 If the provisions of the articles of association (or other constitutional documents) for the time being of any Group Company conflict with the provisions of this Agreement then, during such period, the Parties agree that the provisions of this Agreement shall prevail and the Parties shall procure that the provisions of the relevant articles of association (or other constitutional documents) are amended, as soon as reasonably practicable, to the extent permitted by applicable laws and regulations so as to comply with the provisions of this Agreement. 13.2 The Parties hereby agree that, in the event of a dispute relating to any matter contained both in the articles of association (or other constitutional documents) for the time being of any Group Company and in this Agreement, any claim relating thereto shall be made first pursuant to this Agreement and not pursuant to the applicable articles of association.

The Articles. 4.1 If, during the continuance of this Deed, there shall be any conflict between the provisions of this Deed and the provisions of the Articles then, during such period, the provisions of this Deed shall prevail. 4.2 Each of the Parties hereby undertakes with each other fully and promptly to observe and comply with the provisions of this Deed to the intent and effect that each and every provision hereof shall be enforceable by the said Parties inter se and in whatever capacity.
