Applicable Margin Certificate definition

Applicable Margin Certificate as defined in subsection 7.2(f).
Applicable Margin Certificate a certificate signed and certified as accurate by a Senior Officer of the Borrowers, substantially in the form of Exhibit P.

Examples of Applicable Margin Certificate in a sentence

  • By the 20th day after the end of each fiscal quarter (commencing with the fiscal quarter ending June 30, 2012), the Borrowers shall deliver (i) to the Administrative Agent an Applicable Margin Certificate setting forth a calculation of the Average Availability for the fiscal quarter most recently ended and the corresponding Applicable Margins, and (ii) updates, if any, to Schedule O to the Collateral Questionnaire to reflect all locations of Inventory at the end of the fiscal quarter then ended.

  • If any Applicable Margin Certificate referred to above is not delivered within the time periods specified above, then the Consolidated Indebtedness Ratio as at the end of the fiscal period that would have been covered thereby shall for the purposes of this definition be deemed to be greater than 4.0 to 1.0. In addition, at all times while an Event of Default shall have occurred and be continuing, the highest rate set forth in each column of the Pricing Grid shall apply.

  • Failure to deliver such Applicable Margin Certificate within five (5) days of the date such certificate is required to be delivered pursuant to Section 7.1(a)(iii) shall, in addition to any other remedy provided for in this Agreement, result in an increase in the rates in the Letter of Credit Fees to the highest level set forth in the foregoing grid, until the delivery of the Applicable Margin Certificate demonstrating that such an increase is not required.

  • Adjustments in the rates applicable for Letter of Credit Fees commencing January 1, 2009 shall be implemented effective as of each January 1, April 1, July 1, October 1, commencing at least five (5) days after the date of delivery to Agent of the Applicable Margin Certificate.

  • The Borrower shall deliver to the Agent, concurrently with the delivery of the financial statements referenced in subsections (b) and (c) above, an Applicable Margin Certificate setting forth a calculation of the Average Excess Availability for the Quarterly Reporting Period most recently ended and the corresponding Applicable Margins.


More Definitions of Applicable Margin Certificate

Applicable Margin Certificate means the a certificate substantially in the form of Exhibit H hereto, as such form may from time to time be modified by Agent, which is duly completed (including all schedules thereto) and executed by the chief financial officer or other appropriate financial officer of Borrowers acceptable to Agent and delivered to Agent.
Applicable Margin Certificate means a certificate of the Borrower Representative in substantially the form of Exhibit 4.2(m) hereto, duly completed as of the applicable date under Section 4.2(m).
Applicable Margin Certificate means a certificate signed and certified as accurate by an Authorized Officer of the Borrower, substantially in the form of Exhibit I.
Applicable Margin Certificate shall have the meaning set forth in Section 10.2(f) of the Guarantee.
Applicable Margin Certificate a certificate duly executed by a Responsible Officer substantially in the form of Exhibit E.
Applicable Margin Certificate means an Officers' Certificate delivered with the financial statements required pursuant to Section 5.1(i) and (ii) setting forth in reasonable detail calculation of the Consolidated Fixed Charge Coverage Ratio for the four-fiscal quarter period ending as of the Fiscal Quarter End of the last fiscal quarter covered by such financial statements and the Leverage Ratio as of such Fiscal Quarter End.
