Vendor warrants and represents that, before any Vendor Affiliate Processes any Company Personal Data on behalf of any Company Group Member, Vendor's entry into this Addendum as agent for and on behalf of that Vendor Affiliate will have been duly and effectively authorised (or subsequently ratified) by that Vendor Affiliate.
The subject matter and duration of the Processing of the Company Personal Data are set out in the Principal Agreement and this Addendum.
Service Provider will Process Company Personal Data until the relationship terminates as specified in the Agreement.
Service Provider will, unless legally prohibited from doing so, inform Company in writing if it reasonably believes that there is a conflict between Company’s instructions and applicable law or otherwise seeks to Process Company Personal Data in a manner that is inconsistent with Company’s instructions.

Company Personal Data includes: (a) Personal Data (defined in Section 3.5(a)) obtained by Supplier from Company; (b) Personal Data (from whatever source) being “Processed” by Supplier on behalf of Company; and

Company Personal Data means any personal data, as defined in the PDPA, collected by the Vendor for the purposes of the Contract; or by the Company and/or its related corporations, their agents and representatives, and third party service providers, and disclosed to the Vendor for the purpose of the Contract.

Company Personal Data means any Personal Data Processed by TD on Company’s behalf when TD is acting as a Processor/Service Provider to Company.

Company Personal Data means any Personal Data Processed by the Processor or a Subprocessor on behalf of the Company pursuant to or in connection with the Agreement, and may include, for example, Personal Data of Company’s employees, clients, customers, creditors, equity interest holders, or counter‐parties;

Company Personal Data means any information relating to an identified or identifiable natural person that (i) is obtained by Parent or any of its Affiliates from the Company or any of its Affiliates or Representatives, (ii) is processed by Parent or any of its Affiliates on behalf of the Company or any of its Affiliates, (iii) pertains to the personnel of the Company or any of its Affiliates, or (iv) is created by Parent or any of its Affiliates based on information of the types referred to in any of clauses (i), (ii) or (iii) above.

Company Personal Data is defined in Schedule 7.

Company Personal Data means an identifiable individual’s name, street address, telephone number, email address, photograph, social security number or tax identification number, driver’s license number, passport number, credit card number, bank information, or biometric identifiers or any other piece of information that, alone or in combination with other information held by the Company or any of its Subsidiaries, allows the identification of or contact with an individual and any other information about such individual that can be traced back thereto.
