Escrow Cash definition

Escrow Cash is defined in Section 4.1(a).

Escrow Cash has the meaning set forth in Section 2.7.

Examples of Escrow Cash in a sentence

The Escrow Cash shall be invested from time to time by the Indemnity Escrow Agent as provided in the Indemnity Escrow Agreement.
In the event the Representative and Parent OP shall have instructed the Escrow Agent to deliver any Escrow Units or Escrow Cash to a Parent Indemnitee pursuant to the first sentence of Section 10.7(b) or any Escrow Cash pursuant Section 2.3(e)(ii), such Escrow Units and Escrow Cash shall be allocated by the Escrow Agent among the Escrow Units and Escrow Cash of the Contributors in proportion to their respective Applicable Percentage Interest as set forth on Annex D.
The Escrow Agent may delay accepting any Escrow Cash until the IRS forms shall have been provided.
Income, if any, resulting from the investment of the Escrow Cash or the liquidation of Permitted Investments shall be retained by the Escrow Agent and will be considered, for all purposes of this Agreement, to be part of the Escrow Cash deposited in the Escrow Account.
The Escrow Agent shall be responsible for reporting any interest earned, as of each calendar year-end, on the Escrow Cash or Permitted Investments, or any cash dividends or other distributions made in respect of the Escrow Shares, to the IRS, whether or not such income was distributed by the Escrow Agent during any particular year.

Escrow Cash has the meaning assigned to it in Section 3.1(c).

Escrow Cash means an amount of cash equal to the sum of (i) ten percent (10%) of the Total Share Purchase Consideration and (ii) the Separate Escrow Amount.

Escrow Cash means ten million dollars ($10,000,000) in cash if the Closing occurs on or before August 31, 2008, and twelve million dollars ($12,000,000) in cash if the Closing occurs after August 31, 2008 and the Purchase Price has been increased by twenty million dollars ($20,000,000) pursuant to clause (c)(iii) of the definition of Purchase Price.
