Examples of Major Decisions in a sentence
Except as otherwise herein expressly provided, and subject to the limitations contained in Section 7.3 hereof with respect to Major Decisions, the General Partner shall have, and is hereby granted, full and complete power, authority and discretion to take such action for and on behalf of the Partnership and in its name as the General Partner shall, in its sole and absolute discretion, deem necessary or appropriate to carry out the purposes for which the Partnership was organized.
Except as set forth below with respect to Unanimous Decisions (which are addressed in Section 7.4(b)), Major Decisions (which are addressed in Section 7.4(c)), Reserved Matters (which are addressed in Section 7.4(d)) or as otherwise described in this Agreement, all matters requiring the vote or action of the Board, or any action undertaken by the Board, must be authorized by the affirmative vote of a majority of the Directors.
The Special Servicer shall process waivers, modifications, amendments and consents with respect to Specially Serviced Loans and shall also process waivers, modifications, amendments and consents that are Major Decisions or Special Servicer Decisions with respect to any Serviced Mortgage Loan and any related Serviced Companion Loan.
The Master Servicer shall not be required to interface with the Mortgagor or provide a written recommendation and/or analysis with respect to any such Major Decisions or Special Servicer Decisions.
Unless otherwise expressly set forth herein, all votes, actions, approvals, elections and consents required in this Agreement to be made by “the Members” shall be effective when approved by Members holding a majority of the Percentage Interests, except for Major Decisions, which require unanimous approval as required under Section 5.2(e).
