Privately Held definition

Privately Held means, with respect to the Borrower, any time after the Closing Date during which none of the Equity Interests of the Borrower is publicly traded on any United States national securities exchange or over the counter market, or any analogous exchange or market in any other country or territory.
Privately Held. Notwithstanding any other provision in this Warrant, on any exercise date, the Holder shall have the right to adjust the Exercise Price so that the Warrant Shares for which this Warrant is exercisable shall equal the Warrant Value divided by either the price of the Common Stock, or the conversion price for the Company’s Common Stock, as valued in the Company’s most recent capital raise, or by a third party evaluation, as chosen by the Holder.
