Class Member means a member of the Class.
Class Members means all individuals in the Settlement Class, including the Class Representatives.
Settlement Class Member means a member of the Settlement Class.
Participating Class Member means a Class Member who does not submit a valid and timely Request for Exclusion from the Settlement.
Settlement Class Members means a Person(s) who falls within the definition of the Settlement Class.
Participating Class Members means all Class Members who do not submit valid
Non-Participating Class Member means any Class Member who opts out of the Settlement by sending the Administrator a valid and timely Request for Exclusion.
Class Coupon The Class Coupon on each Class of Notes for any Accrual Period will be as set forth in Appendix I for Original Notes and Appendix II for MAC Notes.
Released Class Claims means the claims being released as described in Paragraph 5.2 below.
Settlement Class means, in respect of each Proceeding, the settlement class defined in Schedule A.
Settlement Class Counsel means X. Xxxxxxxx Xxxxx of Xxxxxx X. Xxxxxx, A Professional Law Corp.; and Xxxx Xxxxxxx of Xxxxx Xxxxx & Xxxxxxx LLP.
Administrative Claims Bar Date means the deadline for Filing requests for payment of Administrative Claims, which: (a) with respect to Administrative Claims other than Professional Fee Claims, shall be 30 days after the Effective Date; and (b) with respect to Professional Fee Claims, shall be 45 days after the Effective Date.
Administrative Claims means Claims that have been timely filed before the Administrative Bar Date, pursuant to the deadline and procedure set forth herein (except as otherwise provided herein or by a separate order of the Bankruptcy Court), for costs and expenses of administration under Sections 503(b), 507(b) or 1114(e)(2) of the Bankruptcy Code, including, without limitation: (a) the actual and necessary costs and expenses incurred after the Petition Date and prior to the Effective Date of preserving the Estates and operating the businesses of the Debtors and Reorganized Debtors (such as wages, salaries or commissions for services and payments for goods and other services); and (b) all fees and charges assessed against the Estates under 28 U.S.C. §1930; provided, however, that the U.S. Trustee shall not be required to file a request for payment of fees and charges assessed against the Estates under 28 U.S.C. § 1930 before the Administrative Bar Date; provided, further, that all requests of Governmental Units for payment of Administrative Tax Claims shall not be subject to the Administrative Bar Date. As used herein, the term “Administrative Claims” shall exclude Professional Compensation Claims.
Named Plaintiffs means: Xxxxx Xxxxx, Xxxxxx Xxxxxxx, and Xxxxx X. Xxxxxx.

Administrative Claim means a Claim for costs and expenses of administration of the Estates under sections 503(b), 507(a)(2), 507(b), or 1114(e)(2) of the Bankruptcy Code, including: (a) the actual and necessary costs and expenses incurred on or after the Petition Date of preserving the Estates and operating the businesses of the Debtors; (b) Allowed Professional Fee Claims in the Chapter 11 Cases; and (c) all fees and charges assessed against the Estates under chapter 123 of title 28 of the United States Code, 28 U.S.C. §§ 1911-1930.
Settlement Classes means, in respect of each Proceeding, the settlement class defined in Schedule A.
Allowed Administrative Claim means an Allowed Claim that is an Administrative Claim.
Class C Member means a Member holding the Class C Ordinary Share.
Plan Distribution means a payment or distribution to Holders of Allowed Claims, Allowed Interests, or other eligible Entities under and in accordance with the Plan.
Individual Class Payment means the Participating Class Member’s pro rata share of the Net Settlement Amount calculated according to the number of Workweeks worked during the Class Period.
Class Counsel means Xxxx X. Xxxxxx of Xxxxxx Xxxxxxxxxx & Xxxxxxxx XXX, Xxxxxx X. Xxxx of Xxxx P.C. and Xxxxx X. Xxxxxx of Lieff Cabraser Xxxxxxx & Xxxxxxxxx, LLP.
Disallowed Claim means (a) a Claim, or any portion thereof, that has been disallowed by a Final Order or a settlement, (b) a Claim or any portion thereof that is Scheduled at zero or as contingent, disputed, or unliquidated and as to which a proof of claim bar date has been established but no proof of claim has been timely filed or deemed timely filed with the Bankruptcy Court pursuant to either the Bankruptcy Code or any Final Order of the Bankruptcy Court or otherwise deemed timely filed under applicable law, or (c) a Claim or any portion thereof that is not Scheduled and as to which a proof of claim bar date has been established but no proof of claim has been timely filed or deemed timely filed with the Bankruptcy Court pursuant to either the Bankruptcy Code or any Final Order of the Bankruptcy Court or otherwise deemed timely filed under applicable law.
Settlement Class List means a list of each Settlement Class Member’s full name, current or last known residential mailing address, and all known email addresses, which Defendant or Defendant’s agent shall provide to the Settlement Administrator within seven (7) days of the entry of the Preliminary Approval Order.
Allowed Secured Claim means all or that portion of a Secured Claim which is an Allowed Claim.
Class Member Address Search means the Administrator’s investigation and search for current Class Member mailing addresses using all reasonably available sources, methods and means including, but not limited to, the National Change of Address database, skip traces, and direct contact by the Administrator with Class Members.
